Terms & Conditions

These Terms form a binding contract between Vault Business LLC ("VaultElite", "we", "us", "our") which operates the VaultElite platform, and the natural or legal person who registers, activates an Engine Licence, or otherwise uses the Platform ("you", the "User").

In these Terms:

• Platform means the VaultElite websites (vault-elite.com, futures.vault-elite.com), associated backend services, and the engine software made available to licensed users.
• Engine Licence means a non-exclusive, non-transferable, licence-cap-limited right to operate the VaultElite execution engine software against your own connected exchange account.
• Licence Cap means the cumulative realised PnL threshold at which the Engine Licence automatically terminates.
• Connected Exchange Account means an account held by you with a third-party centralised or decentralised venue, accessed by the engine via API keys or wallet permissions that you provide.

VaultElite licences automated execution engine software. It is a software tool — not a managed account, fund, security, collective investment scheme, deposit-taking service, or any crypto-asset service requiring authorisation under Regulation (EU) 2023/1114 ("MiCAR"), the UK Financial Services and Markets Act 2000, or any equivalent framework.

The engine operates on a non-discretionary, fully automated basis: it executes pre-coded rules that you accept on licence activation. VaultElite does not exercise discretion over individual trade decisions and does not provide investment advice, recommendations, portfolio management, or any service that depends on discretionary judgement.

All trading takes place on your Connected Exchange Account, using your own capital, via API or wallet permissions that you grant and may revoke at any time. VaultElite does not hold, custody, manage, transfer, or otherwise have control over user capital.

You may use the Platform only if you:

• are at least 18 years old and have full legal capacity to enter into a binding contract;
• are not resident in, or accessing the Platform from, the United States of America or its territories;
• are not resident in, or a national of, any jurisdiction subject to comprehensive trade sanctions (including but not limited to those administered by the UN, EU, UK, or OFAC);
• are not prohibited from using automated trading software or the underlying instruments under the laws of your jurisdiction; and
• provide accurate, complete, and current information when registering.

We reserve the right to refuse, suspend, or terminate access to any user who does not meet, or who ceases to meet, these eligibility requirements.

Authentication to the Platform is provided via the Vault Business single sign-on system. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. We may require identity verification or additional information at any time for compliance, security, or anti-fraud purposes.

You must notify us promptly at support@vault-elite.com if you suspect any unauthorised access to your account.

Engine Licences are listed on the Engine Licences page of the Platform and on the Vault Business store. Each tier has pre-coded technical operating parameters — including Licence Cap, Daily Parameter, Multiple, and Max Capital — that are fixed at the time of acquisition and disclosed before payment.

A licence is activated immediately upon receipt of payment and the issue of the corresponding licence key. By completing payment and ticking the immediate-performance consent at checkout, you expressly request immediate performance of the licence supply and acknowledge that, under Article 16(m) of EU Directive 2011/83/EU (Consumer Rights Directive) and equivalent provisions in other jurisdictions, your statutory right of withdrawal (where applicable) is lost on activation. Licences are therefore non-refundable once activated.

Licences are non-exclusive, non-transferable, and may not be sub-licensed, resold, assigned, or otherwise made available to any third party.

Each Engine Licence terminates automatically and permanently when the cumulative realised PnL on your Connected Exchange Account, attributable to the engine, reaches the Licence Cap for that tier. The Licence Cap is a technical software operating limit and not a return guarantee, projection, or target.

Upon termination, the licence cannot be reactivated. To continue using the engine you must acquire a new licence.

You may terminate your use of the licence at any time before the Licence Cap is reached by stopping the engine and revoking the relevant API keys. No partial refunds are offered for unused capacity.

You acknowledge that trading cryptocurrencies, leveraged futures, and on-chain perpetual derivatives carries a high level of risk and may result in the loss of some or all of the capital allocated on your Connected Exchange Account. Past performance is not a reliable indicator of future performance.

Engine-side risk controls (circuit breakers, liquidation buffers, position-sizing logic) are designed to remain active during normal operation but do not eliminate the possibility of loss. Full risk information is set out in our Risk Disclaimer, which forms part of these Terms.

You are solely responsible for:

• the security of your account credentials and API keys;
• configuring API keys with trade-only permissions and disabling withdrawal rights;
• the capital you allocate on your Connected Exchange Account and any losses sustained on that account;
• all tax obligations, reporting, and registrations applicable to your trading activity;
• complying with the rules and terms of the centralised exchanges and on-chain venues you connect to; and
• ensuring your use of the Platform is lawful in your jurisdiction.

You must not, and must not permit any third party to:

• reverse-engineer, decompile, copy, or otherwise attempt to extract the source code of the engine software;
• resell, sub-licence, or commercially exploit the licence without our prior written consent;
• use the Platform to engage in market manipulation, wash trading, money laundering, terrorism financing, or any other unlawful activity;
• circumvent any security, rate-limiting, or licence-enforcement mechanism;
• use the Platform from a jurisdiction in which use is prohibited or restricted, including the United States.

All intellectual property in the Platform, the engine software, the website content, branding, and related materials belongs to Vault Business LLC or its licensors. Your Engine Licence grants a limited operational right and does not transfer any ownership.

We aim to keep the Platform available 24/7 but do not guarantee uninterrupted operation. We may suspend, modify, or discontinue any feature for maintenance, security, regulatory, or operational reasons, with or without notice.

We may suspend or terminate your access — including any active licence — if you breach these Terms, act unlawfully, create undue risk for the Platform or other users, or fail to meet eligibility requirements. Where termination is for cause, no refund is due.

To the maximum extent permitted by applicable law, the Platform and the engine software are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

To the maximum extent permitted by applicable law, VaultElite, its officers, employees, and affiliates shall not be liable for:

• any trading losses or liquidations sustained on your Connected Exchange Account;
• any indirect, incidental, consequential, special, or punitive damages;
• loss of profits, revenue, goodwill, or data;
• downtime, exchange outages, network failures, oracle failures, smart-contract exploits, or other events outside our reasonable control.

Where liability cannot lawfully be excluded, our aggregate liability to you for any claim relating to the Platform or the engine software is limited to the licence fees you actually paid to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.

You agree to indemnify and hold harmless Vault Business LLC and its affiliates against any third-party claim, loss, or cost (including reasonable legal fees) arising out of your breach of these Terms, your unlawful use of the Platform, or your trading activity on a Connected Exchange Account.

Your personal data is processed in accordance with our Privacy Policy, which forms part of these Terms.

We may update these Terms from time to time. Material changes will be notified through the Platform or by email to the address on your account. Continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the changes.

These Terms are governed by the laws of the jurisdiction in which Vault Business LLC is incorporated, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be resolved by the competent courts of that jurisdiction, unless mandatory consumer-protection law in your country of residence designates a different forum.
